Procedure - Seller Minimum Reserve of $216,000. Farm will be offered at public
auction subject to a minimum bid of $216,000. When minimum bid is met, property
will then sell to the highest bidder.
Terms - This cash sale requires a 15% earnest deposit at signing of the Purchase
Agreement immediately following the Auction. The balance of the purchase price is
payable in certified funds at Closing, which will be December 12, 2017. There can
be no contingency for not financing. This will be a cash sale. Sellers will convey
title by Warranty Deed; with Title Insurance evidencing merchantable title. Cost of
the Title Insurance and an Insured Closing by the Title Company will be shared
50/50 by Buyer/Seller. Property sells subject to easements, rights-of-way, zoning,
and restrictions of record; Free and clear of all liens. The property sells in “as-is”

Possession - Full possession at Closing, subject to a 2017 farm lease which
terminates February 28, 2018. Seller to retain all of the 2017 landlord income.
Taxes - 2017 real estate taxes paid by Seller; Buyer will pay 2018 and subsequent
Minerals - All Owned Oil, Gas, and Minerals pass to Buyer.
Acreages - Reported acreages were obtained from the County USDA-FSA office,
and County Assessor. The farm sells without regard to acres. No warranty is
